These Terms of Service (“Terms”) govern your access to and use of the website usamakaramat.com (the “Site”) and any digital services, products, or content (collectively, “Services”) provided by Usama Karamat (“I”, “me”, “my”, “service provider”).
I am a solo entrepreneur operating this business.

By accessing the Site or purchasing/using my Services, you (“you”, “client”, “customer”) agree to be bound by these Terms. If you disagree with any part, you must not use my Site or Services.

1. Services Overview

I provide digital services, which may include but are not limited to: web creation, store creation, branding, digital marketing, ai automations etc.
Service specifics, deliverables, timelines, and pricing will be defined in a separate written agreement, proposal, invoice, or project brief (“Project Agreement”).

2. Ordering & Payment

  • Quotes & Proposals: Quotes are valid for a specified period (typically 14-30 days). Services commence upon your acceptance of a proposal/agreement and payment of any required deposit.

  • Payment Terms: Payment details (amount, schedule, methods) will be specified in the Project Agreement. Full payment is required before final deliverables are released unless otherwise agreed.

  • Accepted Methods: Payments are processed securely via third-party processors (e.g., Stripe, PayPal). You are responsible for any associated transaction fees unless stated otherwise.

  • Late Payments: Invoices overdue by [e.g., 15 days] may incur a late fee of [e.g., 1.5% monthly] or result in a pause or termination of services.

3. Refunds & Cancellations

  • Digital Services Refunds: Due to the custom and intangible nature of digital services, I generally do not offer refunds once work has commenced or deliverables have been provided. Refund eligibility, if any, will be explicitly stated in the Project Agreement.

  • Cancellation by Client: If you cancel a project after work has begun, you are responsible for payment for all work completed up to the cancellation date, based on the agreed rate or milestone schedule.

  • Cancellation by Me: I reserve the right to refuse or terminate service at my discretion, particularly for abusive behavior, inappropriate requests, or non-payment. If I cancel for reasons other than your breach, a prorated refund may be issued.

4. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information, materials, and feedback necessary for project completion.

  • Obtain all necessary rights, licenses, or permissions for any materials (text, images, logos) you provide.

  • Review deliverables promptly and provide clear feedback within agreed revision periods.

5. Intellectual Property (IP)

  • My Pre-existing IP: I retain all rights to my tools, processes, methodologies, templates, and proprietary materials used to provide the Services.

  • Client Materials: You retain ownership of any materials, content, or IP you provide to me.

  • Deliverables & Final Work: Upon full and final payment, I grant you a [specify license, e.g., exclusive, perpetual, worldwide, non-transferable] license to use the final delivered work for its intended purpose as defined in the Project Agreement. Unless explicitly stated otherwise in writing, I retain the right to display the work in my portfolio and marketing materials.

6. Revisions & Scope Changes

  • The Project Agreement will specify the number of included revision rounds.

  • Requests that substantially alter the original agreed scope (“Scope Creep”) may require additional fees and a revised timeline, subject to a written change order.

7. Warranties & Disclaimers

  • I warrant that the Services will be performed with reasonable skill and care, consistent with industry standards.

  • I do not warrant that the Services will be uninterrupted, error-free, or meet any specific performance results not explicitly stated in the Project Agreement.

  • The Site and Services are provided “as is” without warranties of any kind, express or implied.

8. Limitation of Liability

To the maximum extent permitted by law, my total liability to you for any claim arising from these Terms or the Services is limited to the total amount you paid for the specific service giving rise to the claim.
I shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or data, even if advised of their possibility.

9. Confidentiality

Both parties agree to keep confidential any non-public business information disclosed during the project, except as required by law.

10. Independent Contractor Relationship

I am an independent contractor, not your employee, partner, or agent. This agreement does not create a joint venture or partnership.

11. Third-Party Services & Links

The Site may use or link to third-party services (e.g., hosting, payment processors, APIs). I am not responsible for their terms, privacy policies, or performance. You use them at your own risk.

12. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of [Your State/Province and Country, e.g., The State of California, USA], without regard to its conflict of law principles.
Any disputes shall be resolved first through good-faith negotiation. If unresolved, they shall be subject to the exclusive jurisdiction of the courts located in [Your County/Region, e.g., Santa Clara County, California].

13. Amendments

I reserve the right to update these Terms at any time. The updated version will be posted on the Site with a new “Last Updated” date. Your continued use of the Site or Services constitutes acceptance.

14. Termination

I may suspend or terminate your access to the Site or Services for violation of these Terms, illegal conduct, or non-payment.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

16. Entire Agreement

These Terms, along with any Project Agreement, constitute the entire agreement between us regarding the Services and supersede any prior agreements.

10. Changes to this Terms of Service

I may update this Terms of Service periodically. The “Last Updated” date at the top will reflect changes. Continued use of the Site after changes constitutes acceptance.
